In Novem­ber 2024, CRANAplus Incor­po­rat­ed became CRANAplus Lim­it­ed (ABN31 601 433 502) a com­pa­ny lim­it­ed by guar­an­tee. In accor­dance with Rule 30 of the Con­sti­tu­tion of CRANAplus Lim­it­ed (the Com­pa­ny) the first direc­tors of the Com­pa­ny hold office only until the ter­mi­na­tion of the first Annu­al Gen­er­al Meet­ing (AGM), but are eli­gi­ble for elec­tion at that meet­ing. As this is the first Annu­al Gen­er­al Meet­ing of the Com­pa­ny, all six direc­tors will vacate their seats at the con­clu­sion of the AGM 12pm Thurs­day 21 Novem­ber 2025, unless re-elect­ed. Accord­ing­ly, mem­bers may wish to nom­i­nate for the role of Com­pa­ny Direc­tor with CRANAplus Limited.

To be eli­gi­ble for elec­tion, nom­i­nees must be an ordi­nary mem­ber of CRANAplus Lim­it­ed and not be pre­clud­ed from being a direc­tor under the Cor­po­ra­tions Act 2001 (Cth) or a respon­si­ble per­son under the Aus­tralian Char­i­ties and Not for Prof­it Com­mis­sion Act 2012 (Cth). Com­pa­ny Direc­tors will also be required to hold a Direc­tors Iden­ti­fi­ca­tion Number.

Nom­i­nees should be famil­iar with the roles and respon­si­bil­i­ties of Com­pa­ny Direc­tors under the Cor­po­ra­tions Act 2001 (Cth) and the duties of respon­si­ble enti­ties under the Aus­tralian Char­i­ties and Not for Prof­it Com­mis­sion Act 2012 (Cth). Nom­i­nees should be aware they would be required to:

- act with rea­son­able care and dili­gence;
- act hon­est­ly and fair­ly in the best inter­ests of the char­i­ty and for its char­i­ta­ble pur­pos­es;
- not mis­use their posi­tion or infor­ma­tion they gain as a Respon­si­ble Per­son;
- dis­close actu­al or poten­tial con­flicts of inter­est;
- ensure that the finan­cial affairs of the char­i­ty are man­aged respon­si­bly; and
- not allow the char­i­ty to oper­ate while it is insolvent.
